Mauritius key updates: Companies Act 2001 & Financial Services Act 2007.
Written by Acclime Global Business,
Recent amendments to the Companies Act 2001 and the Financial Services Act 2007 (FSA) introduce new compliance obligations for companies operating in Mauritius.
The following is a summary of the key changes and important deadlines.
Companies Act 2001 – Section 91
The new requirements for Beneficial Owners (BOs/UBOs) are:
- Keep a record of all actions taken to identify BOs/UBOs.
- BOs/UBOs must provide a written declaration confirming their status.
- BOs/UBOs must notify the company of any changes.
Deadline: For companies incorporated before 30 June 2025, compliance is required by 30 June 2026.
We will be releasing a template to assist BO/UBO in submitting their signed declaration.
Companies Act 2001 – Section 346
Certificates of Current Standing may now include additional information as determined by the Registrar.
Financial Services Act 2007 – Section 71
The new requirements Global Business Companies (GBCs) are:
- Must at all times have at least two resident directors in Mauritius (with sufficient calibre to exercise independent judgement).
- The FSC must be notified within seven days of any statutory filing or director changes lodged with RoC/CBRD.
Our process already ensures simultaneous filings with the FSC and RoC. Whilst these were always a requirement, the FSA 2007 has changed the language to make the requirement of at least two resident directors compulsory at all times.
Next step for compliance
- Look out for the BO/UBO declaration template we’ll be sharing soon.
- Review your company’s current structure to ensure you’re ready for the 30 June 2026 compliance deadline.
